We advise founders on their relations with each other.

At the beginning of their company's life, with all the excitement, it is hard to imagine future discord. But what if later on one wants to sell and another does not? Or worse, one finds a buyer which does not want to purchase the shares of all the founders, just enough to control the company? These things do happen.

Our job is to envisage what can go wrong for the founders, so that they don't have to worry about it themselves. Each start-up's story is different. We adapt to suit.

We advise on options, still the preferred method for permitting cash-strapped start-ups to reduce their cash expenditures on employees and consultants. They are also a means of rewarding Board and Advisory Board members.

We advise on Advisory Boards, useful tools for bringing in individuals of strategic value to the company and involving them in the company, without at the same time asking them to assume the ever-increasing risk of becoming a member of the Board. They are of particular value to companies moving into unfamiliar territory, such as a foreign country.

What is different about start-ups is that they are involved in an adventure, a voyage into the new and different.

We are privileged to share that journey, and participate from the moment of creation through beta testing, sales, licenses, joint ventures and M&A deals all the way to the final exit.

This is one reason we are not practicing within major law firms even though our qualifications equal or exceed those of the partners in such firms: we crave that adventure.

We help entrepreneurs organize legal entities and set up their Boards of Directors (corporations) or Managers (LLCs), as well as their Advisory Boards.

We help start-ups put option plans in place.
